1. Introduction

These Terms govern your relationship with Prime Legal IT, legally registered at Bundesplatz 3, 3005 Bern, Switzerland. Our Business ID is CHE-092.731.360. We provide consultancy, compliance, contract drafting, dispute resolution, and other legal services tailored to technology enterprises and professionals. The effective date for these Terms is January 1, 2025.

2. Scope of Services

2.1 We offer a suite of legal services for clients in software development, data protection, intellectual property, commercial transactions, and related IT fields.

2.2 Each engagement is subject to a separate Service Agreement which defines deliverables, timelines, fees, and confidentiality obligations.

3. Client Responsibilities

3.1 You agree to provide accurate, complete, and timely information necessary for us to perform the services.

3.2 You must comply with all applicable laws and regulations in your jurisdiction and cooperate fully with our requests.

4. Fees, Payment and Refunds

4.1 All fees are quoted in CHF and are exclusive of VAT and other applicable taxes unless stated otherwise.

4.2 Invoices are payable within 14 days of issuance. Late payments may incur interest at the rate of 5% per annum above the Swiss National Bank base rate.

4.3 Refund Policy

4.3.1 We strive for complete client satisfaction. If you are not satisfied with any aspect of our service, you must notify us in writing within 7 days of delivery of the relevant work product.

4.3.2 Upon receipt of your written complaint, we will review the issues and, at our discretion, offer one of the following:

• A partial or full refund of fees paid for the disputed service;
• A free revision or supplementary service to address the shortcomings;
• Credit toward future services of equivalent value.

4.3.3 Refunds will be processed within 30 days of approval and returned via the original payment method. Any fees for third-party expenses, such as government filing fees, are non-refundable unless otherwise agreed in writing.

5. Intellectual Property

5.1 All intellectual property rights in materials created by us during the engagement shall remain our property unless expressly transferred in writing.

5.2 You shall receive a non-exclusive, non-transferable license to use deliverables solely for the purpose set out in the Service Agreement.

6. Confidentiality

6.1 We acknowledge that we may receive confidential information from you. Such information shall be kept confidential and used only to perform the services.

6.2 This obligation continues after termination of our engagement.

7. Limitation of Liability

7.1 To the fullest extent permitted by law, Prime Legal IT’s liability to you arising out of or in connection with these Terms shall not exceed the total fees paid by you for the services giving rise to the claim.

7.2 We shall not be liable for any indirect, incidental, or consequential losses, including loss of profit or data.

8. Governing Law and Jurisdiction

8.1 These Terms are governed by and construed in accordance with the laws of Switzerland.

8.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bern, Switzerland.

9. Changes to These Terms

We reserve the right to amend these Terms at any time. Revised Terms will be published on primelegalit.com and take effect 30 days after publication. Your continued use of our website or services constitutes acceptance of the updated Terms.
